All orders are accepted by the IC supplier Shenzhen huichifeng Electronics Co., Ltd. in accordance with the sales and service conditions. The contract shall come into force when the company accepts the order. The customer confirms that before the establishment of the relevant contract, the customer has fully understood and accepted the sales and service conditions. When the customer issues any order, it will be deemed that the customer has agreed to fully accept and be bound by the sales and service conditions. These conditions of sale and service supersede any other terms appearing in the previous catalogue or elsewhere; Moreover, the sales and service conditions deny and exclude any other terms specified, included or referred to by the customer in the order or in the process of negotiation or transaction with Huichi Feng Electronics, unless specifically agreed by the authorized signatory of Huichi Feng Electronics in writing in the company's documents; The contract and the sales and service conditions constitute the entire and only consensus and agreement between Huichi Feng Electronics and customers on product service or sales or maintenance.

Price
Quotation is not the fixed price of the product; All quotations made by Huichi electronics are for reference only; The final selling price of the product will be determined according to the price in the international trading market at that time on the delivery date. Unless otherwise expressly stated, the price stated in the quotation is valid for 30 days from the date of quotation. Huichi electronics can withdraw the quotation at any time before the company's shipment.

order goods
The customer shall place an order with the company by telephone, fax, e-mail, e-commerce platform or other means approved by Huichi Feng. If the company believes that the above order method needs the customer's written confirmation, the customer must make a written confirmation and mark the words "only confirmation" to avoid duplication. Otherwise, in case of repeated delivery, the customer will charge a handling fee for returning the goods. If the customer orders the wrong product or quantity or repeatedly orders, Huichi Feng Electronics will not be responsible.

delivery
The delivery method and price that the customer can choose are listed in the sales contract or will be notified to the customer when the order is issued. Unless otherwise agreed by Huichi electronics in writing, the goods will be delivered to the customer's daily office address shown in the company's records on the delivery date. If there is no express Customer Instruction in the order, the products shall be deemed to have been delivered when they are delivered to the customer, or to the customer's agent or any person designated by the customer, or to the carrier, or at the customer's disposal. If the customer is agreed to pick up the goods by himself and the customer fails to pick up the goods on time, it shall be deemed to have been delivered from the date of picking up the goods.

Transfer of risk and ownership
The risk of product damage is transferred to the customer at the time of delivery or deemed delivery. Huichifeng Electronics will no longer bear any responsibility for the damage and loss of the products after delivery. The ownership of the product shall be transferred to the customer after the product is delivered and signed and confirmed by the customer. If the customer fails to fully fulfill his obligation to pay the price to the company, Huichi Feng Electronics has the right to take back the ownership of the product. The provisions of this section apply to the time when the company receives all the payment. If the customer fails to pay any amount due to the company on time, the company shall have the right to immediately retrieve all products sold by the company to the customer, and the Customer hereby irrevocably authorizes the company, its employees and agents to retrieve the products

Order cancellation, change and return
Once the order is issued by the customer, it is irrevocable, but the company may cancel the order at its discretion. For the customer's request to cancel the order or change the content of the order in part or in whole, both parties must reach an agreement on compensation for the company's losses and obtain the written approval of the company's authorized signatory before the request is deemed to be accepted. Therefore, the labor, materials, recurring expenses, profit losses and other expenses arising from such cancellation and change shall be borne by the customer. If the content of the order is changed, Huichi electronics reserves the right to issue a payment notice for the difference between the new and old orders.

anti-bribery provisions
The customer (and its related persons, or other personnel purchasing products or services related to this contract) shall comply with all applicable anti bribery and anti-corruption laws, regulations and rules, and shall not (directly or indirectly) give any gift or other bribe to any employee of Huichi Feng Electronics to induce him to make any concession or transfer benefits to the customer; Stop or stop any act for the purpose of obtaining any feedback, money or other benefits.
